By accessing and using StartupWerx ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

StartupWerx provides business formation services, including but not limited to:

• Business entity formation (LLC, Corporation, Nonprofit)
• Business name reservation
• Registered agent services
• EIN application assistance
• Industry insights and recommendations
• Business planning tools and resources

We reserve the right to modify or discontinue, temporarily or permanently, the Service with or without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Payment Terms

All fees are quoted in U.S. dollars and are non-refundable except as required by law or as explicitly stated in our refund policy. You agree to pay all fees associated with your purchase of services.

Government filing fees and third-party service fees are in addition to our service fees and will be clearly indicated during the ordering process.

5. Service Limitations

StartupWerx is not a law firm and does not provide legal advice. We provide self-help services at your specific direction. Information provided through the Service is not a substitute for legal advice from a qualified attorney licensed to practice in your jurisdiction.

Processing times for government filings are subject to the processing times of the relevant government agencies and are outside of our control.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by StartupWerx and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. User Content

You retain all rights to any content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods for the purpose of providing and improving the Service.

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy, which describes how we collect, use, and disclose information that pertains to your privacy.

9. Prohibited Uses

You agree not to use the Service:

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STARTUPWERX MAKES NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTUPWERX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to defend, indemnify, and hold harmless StartupWerx and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of the Service.

13. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
